This page provides important information about Avante Capital Partners and materials available on this website (the “Site”). These disclosures apply to all content on the Site, including pages, PDFs, downloads, and communications made available through or referencing the Site.
No offer; no solicitation; offering documents control
The Site is provided solely for general informational purposes. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any security or other financial instrument, or a recommendation to engage in any investment strategy. Any offering of interests in any Avante-sponsored fund or vehicle may be made only pursuant to definitive offering and subscription documents (including a private placement memorandum or other offering memorandum, as applicable), which will contain material information about objectives, strategy, risks, fees, and expenses.
Investor eligibility and intended audience
This Site is intended for institutional investors, financial sponsors, management teams, and other sophisticated market participants. Any securities that may be offered by Avante-sponsored funds or vehicles, if any, would be offered only to eligible investors (which may include “accredited investors” and/or “qualified purchasers,” depending on the product) and only through definitive offering documents.
Regulatory status
Avante Capital Partners is not currently registered as an investment adviser with the U.S. Securities and Exchange Commission. SEC public disclosure search results indicate Avante files reports as an Exempt Reporting Adviser in applicable jurisdictions.
Marketing Rule alignment and “not misleading” standard
Avante intends for statements of fact on this Site to be supportable and not misleading. The SEC marketing rule compliance guide describes general prohibitions that include untrue statements or misleading omissions, and also the expectation that an adviser have a reasonable basis to substantiate material statements of fact upon SEC demand. Avante’s internal practice is to maintain support for material factual statements where appropriate.
Forward-looking statements
The Site may contain forward-looking statements, including statements about markets, pipeline, strategy, or expected outcomes. Forward-looking statements are subject to risks and uncertainties; actual outcomes may differ materially. Avante undertakes no duty to update forward-looking statements except as required by law.
Performance information and related limitations
General. Past performance does not guarantee future results. Investing involves risk, including the loss of principal.
Net vs. gross. If performance is presented anywhere on the Site, Avante will apply SEC Marketing Rule performance constructs for SEC readiness. The SEC guide explains that advertisements may not include gross performance unless net performance is also presented subject to conditions.
Time periods and fair presentation. Performance results should generally be shown for specified time periods and in a fair and balanced manner; the SEC guide identifies prohibitions relating to selective time periods or otherwise unfair presentation.
Hypothetical performance. The SEC guide states that hypothetical performance may not be included unless the adviser adopts and implements policies and procedures designed to ensure the performance is relevant to the intended audience and provides information underlying the hypothetical performance. If Avante presents projections, targets, or other hypothetical performance, Avante will include the required context, assumptions, and limitations in a manner consistent with these expectations.
No SEC approval. The SEC guide expressly prohibits stating that the Commission has approved or reviewed any calculation or presentation of performance results. The Site will not imply SEC review or approval of any performance calculations or disclosures.
Third‑party ratings, awards, and rankings
The Site may reference third‑party ratings, awards, or rankings. The SEC Division of Examinations has highlighted that, for third‑party ratings in advertisements, the adviser should provide (or reasonably believe the rating provides) clear and prominent disclosure of (i) the date and period on which the rating was based, (ii) the identity of the third party, and (iii) whether compensation was provided in connection with obtaining or using the rating.
Avante disclosure commitment. Where the Site includes a third-party rating (e.g., rankings from industry publications or data providers), Avante will disclose:
- the rating provider’s name;
- the date the rating was given and the period evaluated;
- the criteria/methodology description or reference; and
- whether any compensation (including de minimis) was provided to use or publicize the rating.
ESG / Impact disclosures
The SEC has observed that ESG/impact terms are used inconsistently and are not defined in the federal securities laws; lack of standardized definitions can create confusion if firms do not clearly articulate how they define and use ESG-related terms. Avante will define ESG/Impact terms used on the Site and describe the methodology and time periods for any related metrics.
Methodology and limitations. ESG/Impact metrics may rely on internal assessments, third‑party data, company-provided information, or estimates. Such metrics may be incomplete, may change over time, and may not be audited or assured unless expressly stated. ESG/Impact outcomes are not guaranteed.
Portfolio company names, logos, and transactions
Portfolio company names/logos and transaction descriptions are provided for informational purposes only. They may represent a subset of investments or transactions and are not a complete list. They should not be construed as a recommendation, investment advice, or an indication of future results.
Third‑party portals and external websites
Avante may provide links to third‑party investor portals and external sites. Those services are not controlled by Avante, and their terms and privacy policies apply. Avante is not responsible for the content, accuracy, security, or privacy practices of third‑party websites or services.
Confidentiality and restrictions on use
If Avante provides non-public materials through the Site or upon request, such materials may be confidential and intended only for the recipient. Do not copy, forward, repost, or distribute materials unless Avante expressly authorizes it.
